LIMITATION OF LIABILITY
BLACK DIAMOND SOLUTIONS SHALL HAVE NO LIABILITY WITH RESPECT TO ITS OBLIGATIONS UNDER THESE TERMS OR OTHERWISE FOR CONSEQUENTIAL, EXEMPLARY, SPECIAL, INCIDENTAL OR PUNITIVE DAMAGES EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY EVENT, THE LIABILITY OF BLACK DIAMOND SOLUTIONS TO YOU FOR ANY REASON AND UPON ANY CAUSE OF ACTION SHALL BE LIMITED TO THE LESSER OF THE AMOUNT PAID TO BLACK DIAMOND SOLUTIONS BY YOU UNDER THESE TERMS. THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION IN THE AGGREGATE, INCLUDING WITHOUT LIMITATION TO BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY, MISREPRESENTATIONS, AND OTHER TORTS. BOTH PARTIES UNDERSTAND AND AGREE THAT THE REMEDIES AND LIMITATIONS HEREIN ALLOCATE THE RISKS OF PRODUCT AND SERVICE NONCONFORMITY BETWEEN THE PARTIES AS AUTHORIZED BY APPLICABLE LAWS. THE FEES HEREIN REFLECT, AND ARE SET IN RELIANCE UPON, THIS ALLOCATION OF RISK AND THE EXCLUSION OF CONSEQUENTIAL DAMAGES SET FORTH IN THIS AGREEMENT.
Indemnification
You shall indemnify and hold harmless Black Diamond Solutions, its owner, licensee, affiliates, subsidiaries, group companies (as applicable) and their respective officers, directors, shareholders, agents, employees, representatives, from and against any and all claims, demands, liabilities, obligations, losses, costs or debt, damages, actions and expenses (including reasonable attorneys' fees) arising out of or relating to (i) Your use of Site including but not limited to use of any Content; (ii) any breach or alleged breach of these Terms of Use, Privacy Policy and other Policies, (iii) Your violation of any law, rules or regulations or the rights of a third party. This indemnification obligation will survive the expiry or termination of these Terms of Use and Your use of the Site.
These Terms constitute the legal agreement between you and Black Diamond Solutions and govern your use of the offering, but without prejudice to any additional Terms which may be part of an agreement specific to the Services you wish to avail of (but excluding any offering which Black Diamond Solutions may provide to you under a separate written agreement), and completely replace any prior agreements between you and Black Diamond Solutions in relation to the offering.
If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms is invalid, then that provision will be removed from the Terms without affecting the rest of the Terms. The remaining provisions of the Terms will continue to be valid and enforceable.
These Terms, and your relationship with Black Diamond Solutions under these Terms, shall be governed by the laws of the Province of Ontario, Canada and Courts in Canada shall have jurisdiction.
